Overview

What Is a Sole Proprietorship?

A sole proprietorship is a business owned and run by one person. It is not a separate legal entity: the business and the owner are the same in the eyes of the law, it uses the owner's PAN, and its profits are taxed in the owner's personal income tax return. There is no single "proprietorship registration" in India. Instead, the business is recognised through registrations such as Udyam (MSME), GST, and your state's Shop and Establishment licence. It is the fastest and cheapest way to start, with very little ongoing compliance — the trade-off is that the owner has unlimited personal liability for the business's debts.

Using a business name that is already someone else's trademark — check before you print boards and invoices.

✓

Mixing personal and business money in one bank account, which makes tax filing and loans harder.

✓

Not registering for GST after crossing the threshold, which leads to tax, interest and penalties.

✓

Choosing the wrong ITR form for business income, which can lead to a defective return notice.

FAQs

Frequently Asked Questions

Is sole proprietorship registration mandatory?

There is no single law that creates a proprietorship. It is recognised through registrations such as GST, Udyam (MSME) or the state Shop and Establishment licence. Which ones you need depends on your turnover, activity and state.

What is the minimum registration I need to open a current account?

Banks usually ask for two proofs of the business in the proprietor's name — for example, a GST certificate, Udyam certificate or Shop and Establishment licence, along with your PAN and Aadhaar.

Does a sole proprietorship have its own PAN?

No. A proprietorship uses the proprietor's personal PAN, and its income is taxed as part of the owner's personal income tax return (usually ITR-3, or ITR-4 under presumptive taxation).

Is GST registration required for a proprietorship?

Only if your turnover crosses the GST threshold (₹20 lakh for most service businesses, ₹40 lakh for goods in most states), or you fall into a category that must register — such as selling through e-commerce operators in many cases. Voluntary registration is also possible.

What is the owner's liability in a sole proprietorship?

Unlimited. The business and the owner are legally the same person, so the owner's personal assets can be used to pay business debts.

Can a sole proprietorship be converted into a company later?

Yes. As the business grows, you can move it into a Private Limited Company or LLP. The assets and business are transferred to the new entity, and the brand can be assigned to it.

Can I register a trademark for my proprietorship?

Yes. The trademark is filed in the proprietor's personal name, and individuals pay the lower government fee of ₹4,500 per class.

How long does it take?

Udyam registration is usually the quickest. GST registration depends on verification by the GST officer, and Shop and Establishment timelines depend on your state. We confirm the expected time for your case before starting.
